1.2 In these Terms: headings do not affect interpretation; "including" means "including without limitation"; "written" and "in writing" include email; a reference to a law includes that law as amended, extended or replaced; "days" means calendar days unless Business Days are stated; the singular includes the plural and vice versa.
2. Acceptance, business use and eligibility
2.1 Formation. The Agreement is formed when Customer (a) ticks the acceptance box and submits the Business Declaration at Account registration or checkout, or (b) signs an Order Form that refers to these Terms, whichever happens first (the "Effective Date"). AMAI keeps an electronic record of each acceptance (version of the Terms, date, time, user ID and IP address) as evidence of the Agreement.
2.2 Authority. The individual who accepts these Terms or signs an Order Form confirms that he or she is at least 18 years old and is authorised to bind Customer.
2.3 Business customers only. The Service is offered only to businesses: affiliate departments of licensed operators, affiliate companies and independent affiliate managers acting for the purposes of their trade, business or profession. It is not offered to consumers within the meaning of Directive 2011/83/EU and Directive 93/13/EEC. Customer must use the Service only for its business.
2.4 Business Declaration. Before the first use of a paid Plan, Customer must complete the Business Declaration and provide either (a) its company name, country of establishment and company registration number and, where it has one, a VAT number (which AMAI may validate through VIES), or (b) for a self-employed professional, a declaration of self-employed status and a tax identification number. AMAI may refuse any Account that cannot provide a valid Business Declaration.
2.5 If a customer turns out to be a consumer. If AMAI reasonably believes that Customer is acting as a consumer, AMAI may terminate the Agreement on notice and will refund any prepaid Fees for the unused part of the Subscription Term.
2.6 Know-your-customer checks. AMAI may at any time ask for information and documents to verify the identity, ownership, ultimate beneficial owners, business and licence status of Customer and of any operator on whose behalf Customer acts, and to screen them against Sanctions lists. Customer will provide them within 5 Business Days. AMAI may refuse, suspend or terminate the Service if the information is not provided or does not reasonably satisfy AMAI's legal or banking obligations.
2.7 Sanctions and restricted territories. Customer represents and undertakes, on the Effective Date and throughout the Subscription Term, that:
- neither Customer nor any of its directors, ultimate beneficial owners or Authorised Users is a person designated under Sanctions, or owned or controlled by such a person;
- Customer is not established, located or ordinarily resident in, and does not use the Service from, a country or territory subject to comprehensive Sanctions of the European Union or the United Nations;
- Customer is not the government of, or a legal person, entity or body established in, the Russian Federation or Belarus, and will not make the Service available to any such person, including where Article 5n of Council Regulation (EU) No 833/2014 or an equivalent measure prohibits the provision of enterprise-management software or related services; and
- Customer will not use the Service to deal with, or for the benefit of, any person described in (a) to (c).
3. The Service, accounts and Working Accounts
3.1 Right to use. Subject to the Agreement and payment of the Fees, AMAI grants Customer a non-exclusive, non-transferable and non-sublicensable right during the Subscription Term to access and use the Service, and to permit its Authorised Users to do so, for Customer's internal business purpose of running its own or its operator principals' affiliate programmes, within the limits of its Plan.
3.2 What AMAI is, and is not. AMAI is a software provider for affiliate management on the partner side. AMAI does not offer or process gambling, bets or player payments and never contacts players. AMAI is not a gambling operator or gaming supplier, an affiliate network, a tracker, a payment service provider or an agent of Customer. AMAI does not process player-level gaming data, is not a party to any agreement between Customer and a Partner, does not negotiate on Customer's behalf and does not process, hold or guarantee any commission or payout to a Partner. AMAI does not promise any business result, such as a number of Partners, response rates, registrations, first-time deposits or revenue.
3.3 Accounts and credentials. Customer will keep all log-in credentials confidential, enable multi-factor authentication where the Service offers it, and promptly revoke the access of any Authorised User who leaves or no longer needs access. Customer must notify AMAI at amai@amai.team without undue delay if it suspects unauthorised access to its Account or a Working Account.
3.4 Seats. Each Seat may be used by one named Authorised User only. Credentials must not be shared. Customer may reassign a Seat to a new Authorised User when the previous one no longer needs access, but not in a way that allows several individuals to share one Seat.
3.5 Responsibility for users. Customer is responsible for the acts and omissions of its Authorised Users and of anyone who uses the Service with Customer's credentials, as if they were Customer's own.
3.6 Plan limits. Each Plan has the limits shown on the Pricing Page and in the Billing Policy. At the date of these Terms:
Seats: Basic 1, Plus 1, Pro up to 5 and Absolute up to 10. Additional Seats are available on Pro and Absolute at USD 99 per month each;
daily limits for New Partners receiving a first message and for follow-ups: Basic 20 and 20, Plus 30 and 30, Pro 75 and 75, Absolute 150 and 100;
AI replies to Partners: unlimited on all Plans, subject to Customer's Policy Settings, the Partner's consent to the service and fair use (paragraph (e)).
Hard limits. Daily limits are hard limits: when one is reached, the function waits until the next day, and AMAI never charges for excess usage. Daily limits are safety limits designed to reduce the risk of Platform Actions; they are not a promise that Working Accounts will not be restricted. Unused limits do not carry over and are not credited or refunded.
Fair use. Unlimited AI replies are subject to fair use and to AMAI's technical and cost safeguards. AMAI may throttle abnormal automated usage, for example traffic generated by scripts or loops, to protect the Service and other customers.
More capacity. More capacity is available through an upgrade, additional Seats or an Individual Plan agreed in an Order Form (for example for more than 10 managers, several brands or special needs).
3.7 Working Accounts. Customer may connect a Telegram account to the Service only if:
- the account is registered to and operated by an identified Authorised User, or is a business account under Customer's control, and the account holder knows of and has agreed to its connection and use with the Service;
- the number of connected accounts is within the limits of the Plan;
- the account has not been bought, rented, borrowed, shared with a third party, obtained from an account vendor or created in bulk;
- the account is not created or used to replace an account that has been restricted, frozen or banned, in order to continue contacting the same or similar recipients or otherwise to evade a Platform Action; and
- the use of the account complies with Telegram's terms.
Customer remains the account holder of each Working Account. AMAI does not sell, rent or provide Telegram accounts or phone numbers and does not operate accounts on its own behalf. Customer may disconnect a Working Account at any time. AMAI stores the session credentials of Working Accounts in encrypted form and uses them only to provide the Service as Customer has configured it.
3.8 Beta and preview features. Features labelled "beta", "preview", "early access" or "experimental" are provided as they are, may change or be withdrawn at any time, are not covered by Schedule B and do not count towards the functionality of Customer's Plan.
3.9 Changes to functionality. AMAI continuously develops the Service and may change it. During a paid Subscription Term AMAI will not materially reduce the core functionality of Customer's Plan, unless the change is required by Applicable Law, for security reasons or by a Platform Action. If such a change materially reduces the core functionality of Customer's Plan, Customer may terminate the affected subscription by notice within 30 days of the change and AMAI will refund the prepaid Fees for the unused part of the Subscription Term.
3.10 Roadmap. Features that are not yet generally available, including those described in presentations, roadmaps or marketing materials, are not part of the Service unless the Order Form expressly includes them.
3.11 Group Companies. Where an Order Form allows Authorised Users of Customer's Group Companies to use the Service, Customer is responsible for their compliance with the Agreement.
4. Trial day, evaluations and Paid Pilots
4.1 No self-serve free trial. The Service has no self-serve free trial.
4.2 Trial day. After a demo, AMAI may invite Customer to a free trial day: 24 hours of the Plus Plan with the Plus Plan's limits. Only one trial day is available per person and per team (Customer and its Group Companies). The trial day costs nothing, no payment is taken and it does not convert into a paid Plan automatically. AMAI may refuse or end a trial day at any time if it reasonably suspects abuse, including repeat trials through new accounts. The trial day is an Evaluation.
4.3 Invited evaluations. AMAI may, at its discretion, invite a business team to a separate evaluation. An invited evaluation follows the Evaluation Terms that AMAI provides with the invitation, which supplement these Terms.
4.4 Nature of Evaluations. An Evaluation is a non-production version of the Service provided for testing and evaluation purposes for a limited period. It is free of charge, never renews or converts into a paid subscription automatically and is not a paid subscription for any purpose. Schedule B (service levels) does not apply to it. A paid subscription starts only if Customer expressly chooses a paid Plan or signs an Order Form, has been clearly told the price and when payment is due, and pays.
4.5 Data Act notice for Evaluations. AMAI informs Customer before an Evaluation starts that, under Article 31 of the Data Act, the obligations in Chapter VI of the Data Act (switching between data processing services) do not apply to an Evaluation. In particular, Schedule C does not apply to an Evaluation.
4.6 Paid Pilots. A Paid Pilot is production use of the Service. All of the Agreement, including Schedule C and the DPA, applies to a Paid Pilot, as supplemented by the pilot terms in the Order Form.
4.7 Conversion. When an Evaluation or Paid Pilot converts into a paid subscription, Customer Data still held in the Account carries over and the subscription is governed by the Agreement from the conversion date.
5. Fees, billing and payment
5.1 Fees and currency. Customer will pay the Fees stated in the Order Form or, for purchases in the Service, on the Pricing Page at the time of purchase. Fees are stated and payable in United States dollars (USD) and exclude VAT. AMAI does not charge any commission, success fee or share of revenue on deals, commissions or payouts between Customer and its Partners, and Partners use the Partner Hub free of charge.
5.2 No payments before incorporation. AMAI does not request or accept any payment until AffiliateManagersAI Ltd is incorporated and has opened a bank account in its own name. Invoices are issued by AffiliateManagersAI Ltd.
5.3 First Wave pricing. If Customer starts its paid subscription between 6 November 2026 and 30 April 2027, the Fees for the first 6 months are the First Wave Price (50% of the list price). After that period the list price applies, after at least 30 days' notice under clause 5.9, unless an Order Form states otherwise. A Customer that uses only an Evaluation makes no payment, and the 6-month period starts only with its first paid period.
5.4 Billing in advance. Fees are billed monthly in advance. Annual billing is available only under an Order Form. Upgrades, downgrades and additional Seats are billed as described in the Billing Policy.
5.5 Payment methods. Once available, Customer may pay by card or by bank transfer against an invoice. Other payment methods are available only if agreed in an Order Form. When paying by card, Customer authorises AMAI and its payment provider to charge the Fees for each billing period until the subscription ends.
5.6 Where to pay. Customer will pay only to accounts held in the name of AffiliateManagersAI Ltd as stated on AMAI's invoice. AMAI will never change its bank details by email alone. Customer must verify any change by a second channel with its AMAI contact before paying. A payment made to an account that is not AMAI's does not discharge Customer's payment obligation.
5.7 When a period starts; late payment. A monthly period starts when Customer's payment is confirmed. If a renewal is not paid, the paid period ends and the paid features of the Plan stop until payment, while Customer Data remains retrievable under Schedule C. If Customer pays after a period has ended, a new monthly period at the then current price starts from the payment, and nothing is charged for the gap. AMAI does not charge late-payment interest, penalties or reminder fees. Invoices issued under an Order Form are payable within the period stated in the Order Form, in full and without set-off or deduction, and Customer bears its own bank charges.
5.8 Disputed invoices. If Customer disputes an invoice in good faith, it must notify AMAI in writing with reasons within 14 days of the invoice date and pay the undisputed part by the due date. The parties will try to resolve the dispute within 30 days.
5.9 Price changes. This clause 5.9, and not clause 25, governs changes to the Fees of an existing subscription.
- Notice. AMAI may change the Fees of Customer's subscription, including the list price and a First Wave Price, by giving at least 30 days' prior written notice by email to Customer's billing contact and Account administrator and by notice in the Service. The notice states the new price and the date from which it applies.
- When a new price applies. A new price applies only from the start of the first billing period that begins after the notice period ends, and never to a billing period already paid for. For an annual or other committed Subscription Term, it applies only from the next Renewal Term.
- Free exit. If Customer does not accept a new price, Customer may cancel the affected subscription at any time before the new price applies. The cancellation takes effect at the end of the current billing period or committed term, and no cancellation fee, early-termination fee or other penalty is payable.
- Fixed prices. Prices fixed in an Order Form, including Founders Club prices during the fixed period in Schedule D, do not change during the fixed period.
- Acceptance. If Customer does not cancel before the new price applies, the new price applies from the date stated in the notice.
5.10 Refunds. Fees are non-refundable, including for partial periods, unused limits and non-use. A refund is made only:
- where Applicable Law requires a refund;
- where AMAI itself ends the Service, or materially reduces it, before the end of a paid period for a reason not caused by Customer, as provided in clauses 2.5, 3.9, 12.5, 20.3, 21.2, 23.5, 23.6, 25.3 and 26.3, paragraph B.8 of Schedule B and clause 8.3 of the DPA, in which case AMAI refunds the prepaid Fees for the unused part, calculated pro rata by days; or
- where AMAI decides, in a specific case and at its discretion, to refund a payment in full or in part. Such a decision does not create a right to a refund in any other case.
There is no money-back guarantee. Approved refunds go back to the original payment method. Billing errors, such as a duplicate charge, are corrected under the Billing Policy.
5.11 Chargebacks. Before initiating a chargeback or payment reversal, Customer will contact amai@amai.team and give AMAI a reasonable opportunity to resolve the issue. An unjustified chargeback is a material breach of the Agreement.
6. Taxes
6.1 All Fees are exclusive of value added tax (VAT) and any other taxes, duties or levies, which Customer will pay in addition where they apply.
6.2 Customers in other EU Member States. Where Customer is a business established in an EU Member State other than the Republic of Cyprus and has provided a valid VAT identification number, the place of supply is Customer's Member State (Article 44 of Council Directive 2006/112/EC). AMAI will invoice without Cyprus VAT and Customer will account for VAT under the reverse-charge mechanism (Article 196 of that Directive), where applicable.
6.3 Customers outside the EU. Where Customer is a business established outside the European Union, the supply is outside the scope of Cyprus VAT. Customer is responsible for any tax that applies in its own jurisdiction, including any reverse-charge or self-assessment obligation.
6.4 Customers in Cyprus. Where Customer is established in the Republic of Cyprus, AMAI will charge Cyprus VAT at the applicable rate where the law requires it.
6.5 Tax information. Customer will provide accurate tax information (country of establishment and VAT number) and inform AMAI of any change. If Customer's VAT number is invalid or not provided, AMAI may charge VAT as if Customer had none.
6.6 Withholding. If Applicable Law requires Customer to withhold any tax from a payment, Customer will pay such additional amount as ensures that AMAI receives the full amount it would have received without the withholding, unless the withholding is reduced or eliminated under a double tax treaty and Customer provides the necessary certificate before payment.
6.7 Each party is responsible for taxes on its own income and for its own tax filings.
7. Subscription Term, renewal and cancellation
7.1 Initial Term. The first subscription period (the "Initial Term") is one month, starting when the first payment is confirmed, unless an Order Form states a different term.
7.2 Automatic renewal. Unless cancelled under clause 7.4, each subscription renews at the end of the Initial Term and of each renewal period for a further period (each a "Renewal Term") equal to the billing period: one month for monthly subscriptions, or the term stated in the Order Form. Each Renewal Term is charged at the price that applies under clause 5.3, clause 5.9 or the Order Form. An Evaluation never renews.
7.3 Renewal reminder. For annual subscriptions under an Order Form, AMAI will send Customer's billing contact a renewal reminder at least 45 days before the end of the current term, stating the renewal date and price.
7.4 Cancellation. Customer may cancel a subscription in the Account settings or by email from an Account administrator to amai@amai.team:
- for a monthly subscription, at any time, with effect from the end of the current paid period; and
- for an annual subscription or an Order Form with a committed term, by notice given at least 30 days before the end of the current term, with effect from the end of that term.
Cancellation stops the next renewal. Access stays until the end of the paid period. Cancellation does not entitle Customer to a refund for the remaining days of the current period. Customer Data remains retrievable under Schedule C.
7.5 Committed terms and switching. Customer may at any time initiate switching under Schedule C. Doing so does not release Customer from the Fees for the remainder of an annual or other committed Subscription Term that Customer has agreed to in an Order Form. Those Fees are standard service fees, not switching charges within the meaning of the Data Act. AMAI does not charge any other fee for switching or data egress.
8. Customer responsibilities
8.1 Compliance. Customer will use the Service in accordance with the Agreement, the AUP, the Documentation, Applicable Law and the terms of each Third-Party Platform it uses.
8.2 Customer Data. Customer is solely responsible for the accuracy, quality, legality and lawful collection of Customer Data and for having all rights and permissions needed for AMAI to process it under the Agreement.
8.3 Prohibited data. Unless AMAI has agreed otherwise in writing, Customer will not upload to or process through the Service:
- player-level gaming data, such as the identity of players, their bets, deposits, wagers, losses or account activity;
- payment card data or bank account credentials;
- special categories of personal data or data relating to criminal convictions and offences (Articles 9 and 10 GDPR);
- personal data of children; or
- log-in credentials of any third party, other than the session authorisation of a Working Account given by its account holder.
Customer may share aggregated performance figures for each Partner (for example registrations, activations and first-time-deposit counts attributed to that Partner, or commissions payable), but not data that identifies or relates to individual players.
8.4 Customer's affiliate programme. Customer alone is responsible for its offers, commission terms, payouts, tracking, contracts with Partners, checks on Partners (including identity, fraud and traffic-quality checks) and disputes with Partners.
8.5 Cooperation. Within 5 Business Days of AMAI's reasonable request, Customer will provide information that shows its compliance with clauses 9 and 10, such as licence numbers, Target Markets, consent records and the content of its notices to Partners. Customer will promptly inform AMAI of any regulatory inquiry, complaint or Platform Action that relates to its use of the Service.
9. Customer warranties and undertakings
Customer represents, warrants and undertakes, on the Effective Date and throughout the Subscription Term, that:
9.1 Licences. Customer and each gambling operator whose brands, products or affiliate programme Customer promotes or manages through the Service hold and will maintain every licence, authorisation and registration required under Gambling Laws in each jurisdiction where those products are offered or promoted (the "Target Markets"). Customer will not use the Service to promote any brand in a jurisdiction where that brand is not licensed or where the promotion is prohibited. Customer will notify AMAI without delay if any such licence is suspended, revoked or not renewed.
9.2 Advertising law. All Outreach Messages, Deal Room content, offers, creatives and other materials that Customer sends or publishes through the Service, and the marketing activities Customer asks Partners to carry out, comply with Gambling Laws and Marketing Laws. This includes rules on social responsibility, age limits, disclosure of bonus and wagering terms, misleading claims and jurisdiction-specific bans on gambling advertising or affiliate marketing.
9.3 Lawful basis and consent for outreach. Customer is the controller of the personal data it uses to contact Partners and the sender of every Outreach Message. Customer has, and will keep, a lawful basis under GDPR for each processing of Partner personal data in Customer Data and for its use of Catalog Data. Where Data Protection Laws require the recipient's prior consent for a direct-marketing communication, including a message sent through a messenger to a natural person in the European Union, Customer will obtain that consent before sending the message. Customer will not send a message whose purpose is to request such consent where that is prohibited. Customer acknowledges that the Cyprus Commissioner for Personal Data Protection has stated that a message requesting consent is itself unlawful direct marketing and that publicly available contact details may not be used for direct marketing without consent, and that authorities elsewhere may take similar positions.
9.4 Transparency and opt-out. Customer will provide Partners with the information required by Articles 13 and 14 GDPR, at the latest at the time of the first communication, including its identity as sender and controller, a link to its privacy information and a simple way to opt out. Where the Service provides a notice line or link for this purpose, Customer will not remove or alter it except to make it more complete. Customer will honour every objection and opt-out promptly and across all channels and will not circumvent the suppression functions of the Service.
9.5 Accuracy and lawful sourcing of data. Data that Customer imports into the Service is accurate and up to date to the best of Customer's knowledge, and was not obtained by scraping or other means in breach of Applicable Law or of any platform's terms.
9.6 No prohibited targeting. Customer will not use the Service, and will not ask Partners, to target minors, persons below the legal gambling age, self-excluded persons, vulnerable persons or persons in jurisdictions where the promoted product or its promotion is unlawful.
9.7 Account holders. Customer has obtained the agreement of the holder of each Working Account to its connection and use with the Service.
9.8 Sanctions, anti-bribery and AML. Customer complies with Sanctions, anti-bribery laws and anti-money-laundering laws that apply to it, and will not use the Service in connection with any breach of them.
9.9 Continuing accuracy. Customer will notify AMAI without delay if any of the statements in this clause 9 or in the Business Declaration ceases to be true.
10. Automation, approval and the sender
10.1 Customer sets the rules. Customer sets in the Service the autonomy level and the policy that apply to its Account (the Policy Settings), for example which questions the AI assistant may answer, which commercial terms it may state and when a conversation must go to a person. The AI assistant replies to Partners only within the Policy Settings and, in a partner room, only after the Partner has given consent to the service (clause 11.8).
10.2 First-message approval. Approval of the first message to each New Partner by an Authorised User is switched on by default. If Customer switches it off or raises the autonomy level, Customer remains responsible for every message sent under its Policy Settings and must make sure that its Policy Settings and messages comply with clauses 9 and 10 and the AUP.
10.3 Emergency stop. On every Plan, Customer can stop all automation in its Account at once with the emergency stop.
10.4 Customer is the sender and controller. Each Outreach Message is sent in Customer's name, from Customer's Working Account, on Customer's instruction and within Customer's Policy Settings. Customer decides who is contacted, what may be said and when. AMAI acts only as a technical service provider and, for personal data, as Customer's processor. AMAI never sends messages to Partners in its own name on Customer's behalf.
10.5 Safety controls. AMAI may introduce and change rate limits, pauses, recipient checks, suppression rules and similar controls. Customer will not circumvent them, for example by scripts, bots or macros outside the Service. These controls reduce, but cannot eliminate, the risk of Platform Actions.
10.6 Opt-out replies. The Service records opt-out replies that it recognises as a suppression request for Customer's organisation. Customer will also act on opt-outs that the Service does not recognise and will not contact a person who has opted out, except in reply to that person's own new request.
10.7 Deal Room messages. A Partner joins a Deal Room only by his or her own action. Customer remains the sender of, and is responsible for, every message in its Deal Rooms, including messages written by the AI assistant within the Policy Settings. Commercial terms bind Customer only when confirmed through the workflows Customer controls in the Service.
10.8 Logs. The Service records key actions, including who approved and sent each message and when, changes to the control mode of a Deal Room, consents, exports and erasure requests. AMAI keeps these records for the Subscription Term and afterwards only as long as necessary to establish, exercise or defend legal claims.
11. AI Features
11.1 AI Provider. The AI Features use models provided by OpenAI. AMAI may change or add AI Providers under the sub-processor procedure in the DPA.
11.2 Nature of Output. Output is generated by probabilistic models. It may be inaccurate, incomplete, outdated, biased or inappropriate, and may be similar to output generated for others. AMAI does not warrant the accuracy or suitability of any Output. Output is not legal, regulatory, tax, financial or compliance advice.
11.3 Customer's responsibility. Customer is responsible for its Policy Settings, for reviewing Output where it chooses to approve messages, and for all decisions it takes and all messages it sends. Customer will not use the Service to take decisions based solely on automated processing that produce legal or similarly significant effects on natural persons (Article 22 GDPR). A message approved by an Authorised User, and any reply sent by the AI assistant within Customer's Policy Settings, is Customer's own communication for all purposes, and AMAI is not responsible for its content, accuracy or lawfulness.
11.4 AI Act roles. For the purposes of the AI Act, AMAI is the provider of the AI system integrated in the Service and Customer is a deployer when it uses that system under its authority.
11.5 Transparency to Partners. Partners are told in the Partner Hub that replies may be written by an AI assistant, and the AI assistant works in a partner room only after the Partner's consent to the service. Customer will not configure or instruct the Service so that the AI assistant claims to be human or denies that replies may be written by AI.
11.6 Customer's cooperation. Customer will:
- not remove, disable, obscure or circumvent any notice or label that tells Partners about the AI assistant;
- cooperate with AMAI in responding to requests from authorities or recipients to establish whether content was generated with the AI Features;
- take measures to support a sufficient level of AI literacy among its Authorised Users (Article 4 of the AI Act);
- not present Output as written by a human where Applicable Law requires disclosure; and
- respond through its own team when a Partner asks to talk to a person.
11.7 No training on Customer Data. Customer Data is not used to train AI models, whether AMAI's own or an AI Provider's. AMAI uses Customer Data with AI Providers only to provide the AI Features to Customer, in accordance with the DPA.
11.8 Telegram correspondence. AMAI does not use the ordinary Telegram correspondence of Working Accounts as input for the AI Features or to train AI models. The AI assistant processes the messages of a partner room only after the Partner has given consent to the service in the Partner Hub, and only within the scope of that consent.
11.9 AI Provider policies. Customer will not use the AI Features in a way that would breach the usage policies of the AI Providers, including by generating unlawful gambling advertising, deceptive or impersonating content, or content that targets minors.
11.10 Rights in Output. As between the parties, Customer owns any rights that exist in Output generated for Customer, subject to AMAI's rights in the Service, including its templates, prompts and workflows.
12. Telegram and other Third-Party Platforms
12.1 Independent platforms. Telegram and other Third-Party Platforms are not provided by AMAI and are not AMAI's sub-processors. Telegram acts as an independent controller towards its users. Customer instructs AMAI to transmit Outreach Messages through Telegram, a service Customer has chosen, from Customer's Working Accounts.
12.2 Platform terms. Customer, and each holder of a Working Account, must accept and comply with the terms of each Third-Party Platform, including for Telegram its Terms of Service, its API Terms of Service and its terms for bots and Mini Apps.
12.3 Platform risk. Customer acknowledges that:
- Third-Party Platforms may at any time and without notice take Platform Actions, including restricting a Working Account's ability to message non-contacts, freezing it or banning it permanently;
- Telegram does not publish a safe number of messages, restrictions may follow user complaints regardless of volume, and accounts used with third-party API clients may be monitored by Telegram; and
- compliance with Plan limits and AMAI's recommendations reduces, but does not eliminate, the risk of Platform Actions.
12.4 No liability and no refund for Platform Actions. AMAI is not liable for any Platform Action or its consequences, including the loss of a Working Account, contacts, conversation history, Partners, business or revenue, and no refund, credit or extension is due for them, except to the extent the Platform Action was caused by AMAI's breach of the Agreement, intent or gross negligence.
12.5 Platform-wide changes. If a Platform Action or change affecting the Service as a whole (rather than Customer's Working Accounts), such as the withdrawal of AMAI's API access or the removal of the Partner Hub, makes a core function of Customer's Plan unavailable, AMAI will use reasonable efforts to provide an alternative. If the core function remains unavailable for more than 30 consecutive days, either party may terminate the affected subscription by notice, and AMAI will refund the prepaid Fees for the unused part of the Subscription Term. This is Customer's sole remedy for such an event.
12.6 Remediation. If a Third-Party Platform notifies AMAI of a breach of its terms that AMAI reasonably attributes to Customer's use, Customer will remedy it within the period AMAI specifies, which may be shorter than the period the platform allows. Clause 19 applies if Customer fails to do so.
12.7 Payments inside Telegram. Customer will not use the Partner Hub to sell digital goods or services to Partners. Subscriptions to the Service are billed outside Telegram.
13. Deal Rooms, hosted content and notice-and-action
13.1 Joining a Deal Room. A Partner joins a Deal Room only through a personal link, after showing interest, and by giving the consents requested in the Partner Hub. Partners use the Partner Hub under the Partner Hub Terms and the Partner Hub Privacy Policy. Customer will not add a Partner to a Deal Room without the Partner's own action.
13.2 Hosting. For content stored in Deal Rooms at the request of Customer or Partners, AMAI acts as a hosting service provider under the DSA. AMAI has no general obligation to monitor that content.
13.3 Content rules. Content in Deal Rooms must comply with Applicable Law and the AUP. In particular it must not promote unlicensed gambling, be fraudulent or misleading, infringe intellectual property, contain malware, harass or threaten, or contain child sexual abuse material or terrorist content.
13.4 Content moderation. AMAI may remove or disable access to content, restrict the visibility of content or suspend or terminate an account where content is illegal or breaches the Agreement. AMAI acts on notices, orders of authorities and its own investigations. AMAI does not take such decisions by solely automated means.
13.5 Notice-and-action. Any person may notify AMAI of content in the Service that he or she considers illegal by email to amai@amai.team (subject: Abuse report). A notice should include: (a) an explanation of why the content is considered illegal; (b) the exact location of the content (Deal Room link or identifier, message or file); (c) the notifier's name and email address (not required for reports concerning child sexual abuse material); and (d) a statement that the notice is made in good faith and is accurate and complete. AMAI will confirm receipt, process the notice in a timely, diligent, non-arbitrary and objective manner, and inform the notifier of its decision and of the available means of redress.
13.6 Statement of reasons and redress. If AMAI restricts content or an account, it will give the affected Customer or Partner a clear statement of reasons, unless the law prevents it. The affected person may contest the decision by writing to amai@amai.team. This does not affect any right to go to court.
13.7 Criminal offences. If AMAI becomes aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of a person has taken place, is taking place or is likely to take place, it will inform the competent law-enforcement or judicial authorities.
13.8 Points of contact. Single point of contact for authorities of the Member States, the European Commission and the European Board for Digital Services: amai@amai.team, in English or Greek. Single point of contact for recipients of the Service: amai@amai.team (for illegal content with the subject "Abuse report", and for everything else), in English or Russian. These contacts are handled by people and not solely by automated tools. More information is on the Disclosures page.
13.9 Orders. AMAI will comply with orders from competent authorities to act against illegal content or to provide information, and will inform the affected Customer where permitted.
13.10 Customer's cooperation. Customer will deal with complaints from Partners about its own programme and will promptly remove its own content that AMAI notifies as illegal or in breach of the Agreement.
14. Data protection
14.1 Roles.
- Customer Data. For personal data in Customer Data, including partner data, Customer is the controller and AMAI is the processor. The DPA applies and forms part of the Agreement.
- Account Data. AMAI is the controller of Account Data and processes it as described in the Privacy Policy.
- Catalog Data. AMAI is the controller of the Partner Catalog. When Customer uses Catalog Data for its own purposes, for example to contact a Partner or to add a Partner to its CRM, Customer acts as a separate and independent controller for that use.
- Telegram. Telegram processes data as an independent controller and is not AMAI's sub-processor (clause 12.1).
14.2 Instructions. The Agreement, the Order Form and Customer's configuration and use of the Service, including its Policy Settings, are Customer's documented instructions to AMAI for the processing of Customer Data.
14.3 Precedence. For the processing of personal data, the DPA prevails over the rest of the Agreement if they conflict.
14.4 Location and transfers. The provider and the location of the hosting of Customer Data are listed in the sub-processor annex of the DPA, which is published before the paid launch and is available on request. Any transfer of personal data outside the European Economic Area is made only under the safeguards set out in the DPA.
14.5 Sub-processors and incidents. AMAI engages sub-processors, gives notice of changes and notifies personal data breaches in accordance with the DPA.
14.6 Customer's role. Customer is responsible for complying with its obligations as a controller, including providing notices, obtaining consents where required, answering data subject requests and keeping records of processing.
15. Partner Catalog
15.1 Availability. The Partner Catalog is available only where Customer's Plan includes it. This clause 15 sets out the rules for its use.
15.2 No warranty on Catalog Data. AMAI does not warrant that Catalog Data is accurate, complete or current, that any Partner will respond, or that Customer may lawfully contact any particular person for direct marketing in Customer's circumstances. Customer must decide, as controller, whether it has a lawful basis and, where required, consent to contact a person (clause 9.3).
15.3 Restrictions. Customer will use Catalog Data only within the Service to identify and contact Partners for its own affiliate programme. Customer will not bulk-export, scrape, copy, resell, share or publish Catalog Data, use it to build or improve a competing database, or contact a person whom the Service marks as having objected or opted out.
15.4 Removal. AMAI may remove or change any Catalog Data at any time, for example after an objection. Customer will stop using removed Catalog Data, except for its own records of an existing relationship.
15.5 After the end of the subscription. Customer's access to the Partner Catalog ends when its subscription ends. Catalog Data is not exportable data under Schedule C, because it is protected by AMAI's database rights and trade secrets. Customer's own records of its interactions with Partners remain Customer Data and are exportable.
16. Security
16.1 AMAI implements and maintains appropriate technical and organisational measures to protect Customer Data, as described in Annex 2 of the DPA, including encryption in transit, encrypted storage of Working Account session credentials and partner room files, role-based access control, separation of customer workspaces, logging of key actions and backups.
16.2 Customer is responsible for the security of its own devices, networks, Accounts and Working Accounts, including enabling two-step verification on each Working Account, and for promptly removing access for departing Authorised Users.
16.3 AMAI is not responsible for the security of Third-Party Platforms.
17. Intellectual property, feedback and Aggregated Data
17.1 AMAI's rights. AMAI and its licensors own all intellectual property rights in the Service, including software, models developed by AMAI, prompts, templates, workflows, scoring methods, the Partner Catalog as a database, the Documentation, the AMAI name and logos, and all improvements and derivative works, whoever suggests them. No rights are granted to Customer except those expressly set out in the Agreement.
17.2 Customer's rights. Customer owns Customer Data. Customer grants AMAI a non-exclusive, worldwide, royalty-free licence, for the Subscription Term and the retrieval and deletion periods in Schedule C, to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, to comply with Applicable Law and as otherwise permitted by the Agreement and the DPA.
17.3 Feedback. If Customer or its Authorised Users give AMAI suggestions, ideas or comments about the Service ("Feedback"), AMAI may use them for any purpose without obligation or payment. Customer grants AMAI a perpetual, irrevocable, worldwide, royalty-free licence to do so. Feedback does not include Customer Data or Customer's Confidential Information, and AMAI will not publicly identify Customer as the source of Feedback without Customer's consent.
17.4 Usage Data. AMAI may collect and use Usage Data to operate, secure, support, analyse and improve the Service and to bill Customer.
17.5 Aggregated Data. AMAI may create and use aggregated and anonymised statistics derived from Usage Data and Customer Data ("Aggregated Data"), provided that Aggregated Data:
- does not identify Customer, its Authorised Users, its Partners or any natural person;
- does not reveal Customer's offers, commission terms, partner lists or other Confidential Information; and
- does not include, and is not derived from, the content of Telegram Platform Data or of messages.
AMAI may use Aggregated Data to operate, secure, analyse and improve the Service and to publish aggregated industry insights. AMAI will not use Aggregated Data to train AI models or in any way that is significantly detrimental to Customer's legitimate interests. Customer instructs AMAI to create Aggregated Data as part of its documented instructions under clause 14.2. As between the parties, AMAI owns Aggregated Data.
17.6 Restrictions. Customer will not, and will not allow anyone to:
- copy, modify or create derivative works of the Service;
- decompile, disassemble or reverse engineer the Service, except to the extent Applicable Law expressly permits it despite this restriction;
- resell, sublicense, rent, white-label or provide the Service to third parties, except as agreed in an Order Form;
- access the Service to build a competing product or copy its features, design or Output;
- access the Service by automated means not provided by AMAI, scrape it, or circumvent its access controls, limits or security;
- remove any proprietary notices; or
- publish benchmarks of the Service without AMAI's written consent.
18. Confidentiality
18.1 "Confidential Information" means all non-public information disclosed by or on behalf of one party (the "Discloser") to the other (the "Recipient") in connection with the Agreement, which is marked as confidential or would reasonably be understood to be confidential, including product plans, pricing, Founders Club terms, the Partner Catalog, security information, Customer Data and the terms of any Order Form.
18.2 Obligations. The Recipient will use the Discloser's Confidential Information only to perform or exercise its rights under the Agreement, protect it with at least reasonable care, and disclose it only to its and its Group Companies' employees, officers, contractors, professional advisers, auditors, insurers and actual or prospective investors or acquirers who need to know it and are bound by confidentiality obligations no less protective than this clause. The Recipient is responsible for their compliance.
18.3 Exceptions. Clause 18.2 does not apply to information that the Recipient can show (a) is or becomes public other than through its breach; (b) it lawfully knew before receiving it, free of any confidentiality obligation; (c) it lawfully received from a third party without a confidentiality obligation; or (d) it developed independently without use of the Confidential Information.
18.4 Compelled disclosure. The Recipient may disclose Confidential Information to the extent required by law, a court or a competent authority, provided that, where lawful, it gives the Discloser prompt notice and reasonable assistance to limit the disclosure.
18.5 Duration. These obligations apply during the Agreement and for 3 years after it ends, and for trade secrets for as long as they remain trade secrets. Personal data is protected for as long as it is held, under the DPA.
18.6 Return. On the Discloser's written request after the Agreement ends, the Recipient will return or destroy the Discloser's Confidential Information, except copies it must keep by law or held in routine backups, which remain subject to this clause. Customer Data is returned and deleted under Schedule C and the DPA.
19. Suspension
19.1 Grounds. AMAI may suspend all or part of the Service for Customer, including specific Authorised Users, Working Accounts, AI Features or Deal Rooms, if AMAI, acting reasonably and in good faith, determines that:
- Customer's use breaches clause 8.3, clause 9, clause 10 or the AUP, or poses a risk to the security, integrity or availability of the Service, to other customers or to third parties;
- a Third-Party Platform has threatened or notified a Platform Action against AMAI that AMAI reasonably attributes to Customer's use, or Customer has not remedied a breach under clause 12.6;
- complaints, opt-out rates, spam reports or Working Account restrictions associated with Customer's use are abnormally high or otherwise indicate unlawful outreach;
- suspension is required by Applicable Law, a court, a competent authority or a Third-Party Platform;
- an amount due under an Order Form remains unpaid after AMAI's written reminder;
- Customer has not passed checks under clause 2.6, or there is a reasonable suspicion of a breach of clause 2.7; or
- AMAI has received a substantiated notice that content in Customer's Deal Rooms is illegal.
19.2 Proportionality and notice. AMAI will limit a suspension in scope and duration to what is reasonably necessary. AMAI will notify Customer with reasons and the steps needed to lift the suspension, in advance where practicable and otherwise promptly afterwards. AMAI will restore the Service promptly once the cause is resolved.
19.3 Fees. Fees for a paid period remain payable during a suspension caused by Customer.
19.4 Data during suspension. During a suspension Customer may still request an export of Customer Data, unless the law forbids it. If the suspension is due to a security threat, AMAI will provide the export by another secure means.
19.5 Suspension does not limit AMAI's right to terminate under clause 23.
20. Warranties and disclaimers
20.1 Mutual warranties. Each party warrants that it is duly organised (or, for a self-employed Customer, has capacity), has full authority to enter into the Agreement and will comply with Applicable Law in performing it.
20.2 AMAI's warranties. AMAI warrants that during a paid Subscription Term (a) the Service will perform materially in accordance with the Documentation; (b) AMAI will provide the Service with reasonable skill and care; and (c) AMAI will not knowingly introduce malicious code into the Service. This warranty does not apply to Evaluations, beta features, Output, Third-Party Platforms or problems caused by Customer's breach or by use not in accordance with the Documentation.
20.3 Remedy. If Customer notifies AMAI of a breach of clause 20.2 in writing, AMAI will use reasonable efforts to correct it. If AMAI cannot correct a material breach within 30 days of the notice, Customer may terminate the affected subscription by notice and AMAI will refund the prepaid Fees for the unused part of the Subscription Term. Subject to clause 22.1, this is Customer's sole remedy for breach of clause 20.2.
20.4 Disclaimer. Except as expressly set out in the Agreement, and to the maximum extent permitted by Applicable Law, the Service, the Output and the Catalog Data are provided "as is" and "as available", and AMAI excludes all other warranties, conditions and terms, whether express or implied, including as to satisfactory quality, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. In particular, AMAI does not warrant that the Service will achieve any business result, that Working Accounts will not be subject to Platform Actions, or that Customer's outreach or marketing is lawful. Service levels are only those set out in Schedule B.
21. Indemnities
21.1 Customer's indemnity. Customer will defend, indemnify and hold harmless AMAI, its Group Companies and their directors, officers, employees and subcontractors from and against all losses, damages, liabilities, fines and penalties (to the extent the law allows them to be indemnified), settlement amounts, costs and reasonable legal fees arising out of any claim, complaint, investigation or proceeding by a third party or an authority, or any Platform Action against AMAI, to the extent arising from:
- Outreach Messages, Deal Room content, offers or other materials sent or published by or for Customer, including messages sent under its Policy Settings;
- Customer's breach of clause 2.7, clause 8.3, clause 9, clause 10 or the AUP;
- Customer Data, including any claim that it infringes a third party's rights or was collected or processed unlawfully;
- Customer's affiliate programme and its relationships with Partners, including commissions, payouts and disputes; or
- a breach of a Third-Party Platform's terms by Customer, its Authorised Users or the holder of a Working Account.
21.2 AMAI's IP indemnity. AMAI will defend Customer against any claim by a third party that the Service, as provided by AMAI and used in accordance with the Agreement, infringes that third party's copyright, trade mark or patent, or misappropriates its trade secret, and will pay the damages and costs finally awarded against Customer or agreed by AMAI in settlement. This indemnity does not apply to claims arising from Customer Data, Output, Catalog Data, Third-Party Platforms, combinations with items not supplied by AMAI, modifications not made by AMAI, or use in breach of the Agreement. If such a claim is made or likely, AMAI may at its option obtain the right for Customer to continue using the Service, modify the Service so that it does not infringe, or terminate the affected subscription and refund the prepaid Fees for the unused part of the Subscription Term. AMAI's liability under this clause 21.2 counts towards the cap in clause 22.4. This clause states AMAI's entire liability for infringement of third-party intellectual property rights.
21.3 Procedure. The indemnified party will (a) notify the indemnifying party promptly of the claim (a delay relieves the indemnifying party only to the extent it is prejudiced); (b) allow the indemnifying party sole control of the defence and settlement, provided that no settlement may admit fault or impose an obligation on the indemnified party without its consent (not to be unreasonably withheld); and (c) give reasonable cooperation at the indemnifying party's expense. The indemnified party may take part in the defence with its own counsel at its own cost.
21.4 Each party will take reasonable steps to mitigate losses for which it claims under this clause 21.
22. Limitation of liability
22.1 Liability that is not limited. Nothing in the Agreement limits or excludes either party's liability for:
- death or personal injury caused by its negligence;
- fraud or fraudulent misrepresentation;
- its intentional misconduct or gross negligence, including in performing obligations relating to data (in line with Article 13 of the Data Act); or
- any other liability that cannot be limited or excluded under Applicable Law.
22.2 Customer obligations outside the cap. The limitations in clauses 22.3 and 22.4 do not apply to:
- Customer's obligation to pay Fees;
- Customer's obligations under clause 21.1; and
- Customer's liability for breach of clause 2.7, clause 8.3, clause 9, clause 10, clause 15.3, clause 17.6 or the AUP.
22.3 Excluded losses. Subject to clauses 22.1 and 22.2, neither party is liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: (a) loss of profits, revenue, business, contracts, anticipated savings, goodwill or reputation; (b) loss or corruption of data, except that AMAI remains responsible for restoring Customer Data from its latest available backup where the loss was caused by AMAI's breach; (c) losses resulting from Platform Actions, except as provided in clause 12.4; (d) any indirect, special or consequential loss; or (e) fines, penalties or sanctions imposed on Customer by any authority, or measures taken against Customer by a Third-Party Platform, in connection with Customer's Outreach Messages, Deal Room content, affiliate programme or compliance with Gambling Laws, Marketing Laws or Data Protection Laws, except to the extent caused by AMAI's breach of the DPA.
22.4 Cap. Subject to clauses 22.1 and 22.2, each party's total aggregate liability arising out of or in connection with the Agreement, including under the DPA and whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (a) the Fees paid and payable by Customer under the Agreement in the twelve (12) months immediately before the event giving rise to the claim, and (b) USD 1,000. For an Evaluation, AMAI's total aggregate liability is limited to USD 100, unless the Evaluation Terms provided with an invitation state otherwise.
22.5 Allocation of risk. The Fees reflect the allocation of risk in this clause 22, which the parties consider reasonable for a business-to-business service.
23. Term and termination
23.1 Term. The Agreement starts on the Effective Date and continues until every Subscription Term, Paid Pilot and Evaluation under it has ended, and then until the end of the retrieval and deletion periods in Schedule C.
23.2 Termination by Customer. Customer may end a subscription (a) by cancelling it under clause 7.4; (b) by switching under Schedule C; or (c) for cause under clause 23.3.
23.3 Termination for cause. Either party may terminate the Agreement or an affected Order Form by written notice if the other party:
- commits a material breach and, where the breach can be remedied, fails to remedy it within 14 days after receiving written notice of it; or
- becomes insolvent, enters into liquidation (other than a solvent reorganisation), has an administrator, examiner or receiver appointed, makes an arrangement with its creditors, or ceases to carry on business.
23.4 Immediate termination by AMAI on serious grounds. AMAI may terminate the Agreement with immediate effect by written notice if:
- Customer commits a serious or repeated breach of clause 9, clause 10 or the AUP;
- Customer, or an operator whose brands it promotes, loses a licence required under clause 9.1 or becomes subject to enforcement action for promoting unlicensed gambling;
- clause 2.7 is breached, or continuing to provide the Service would expose AMAI to a breach of Sanctions;
- Customer engages in fraud or unjustified chargebacks;
- Customer fails the checks under clause 2.6;
- a Platform Action against AMAI is caused by Customer's breach; or
- an amount due under an Order Form remains unpaid 30 days after AMAI's written reminder.
23.5 Termination by AMAI for convenience. AMAI may terminate a subscription for convenience by giving at least 60 days' written notice. AMAI will refund the prepaid Fees for the unused part of the Subscription Term and provide exit assistance under Schedule C.
23.6 Discontinuation of the Service. AMAI may discontinue the Service as a whole by giving at least 90 days' written notice, in which case clause 23.5 applies to refunds and exit assistance.
24. Consequences of termination
24.1 When a subscription ends for any reason, Customer's right to use the Service ends, except for access to export Customer Data under Schedule C.
24.2 All Fees accrued up to the end date, and Fees for the remainder of any committed Subscription Term under clause 7.5, become payable, except where (a) Customer terminates under clause 3.9, 20.3, 23.3 or 25.3, paragraph B.8 of Schedule B or clause 8.3 of the DPA, (b) either party terminates under clause 12.5 or 26.3, or (c) AMAI terminates under clause 2.5, 21.2, 23.5 or 23.6, in which case only Fees for the period up to the end date are payable and clause 5.10 applies to refunds.
24.3 Customer Data is made available for retrieval and then deleted in accordance with Schedule C and the DPA.
24.4 Each party will return or destroy the other's Confidential Information under clause 18.6.
24.5 Clauses 1, 5 (for amounts accrued), 6, 7.5, 9.9, 11.2, 11.3, 12.4, 15.3 to 15.5, 17, 18, 21, 22, 24, 28, 29 and 30 and Schedule C, and any other provision that by its nature is intended to survive, survive the end of the Agreement.
25. Changes to the Service and to these Terms
25.1 Updates. AMAI may update these Terms, the AUP, the Billing Policy and the Schedules from time to time. Updated versions are published at amai.team/legal with the date of the change. Earlier versions are available on request.
25.2 Notice of material changes. AMAI will give at least 30 days' notice, by email to the Account administrator and by notice in the Service, of any change that is materially adverse to Customer.
25.3 Right to terminate. If Customer does not accept a materially adverse change, it may terminate the affected subscription by notice before the change takes effect, and AMAI will refund the prepaid Fees for the period after termination, including Founders Club Fees. If Customer continues to use the Service after the change takes effect, it accepts the change.
25.4 Urgent changes. Changes required by Applicable Law, a court, a competent authority, a Third-Party Platform's rules or for security may take effect sooner, with as much notice as is reasonably practicable. Clause 25.3 applies to them if they are materially adverse.
25.5 Other changes. Changes that are not materially adverse, such as clarifications, new features or changes to contact details, take effect when published.
25.6 Signed Order Forms. Special terms negotiated in a signed Order Form prevail over later updates to these Terms for the remainder of that Order Form's Subscription Term, except where a change is required by Applicable Law.
26. Force majeure
26.1 Neither party is liable for a delay or failure to perform caused by an event beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, epidemics, acts of government, new Sanctions, failures of public communications networks, outages of hosting providers or AI Providers not caused by the affected party, cyber-attacks despite reasonable security measures, and Platform Actions affecting the Service as a whole ("Force Majeure"). Force Majeure does not excuse an obligation to pay money.
26.2 The affected party will notify the other promptly and use reasonable efforts to mitigate the effects of the Force Majeure.
26.3 If Force Majeure prevents the provision of a core function of the Service for more than 30 consecutive days, either party may terminate the affected subscription by notice, and AMAI will refund the prepaid Fees for the unused part of the Subscription Term.
27. Assignment and subcontracting
27.1 Customer. Customer may not assign, novate or otherwise transfer the Agreement without AMAI's prior written consent. AMAI will not unreasonably withhold consent to a transfer to a successor of Customer's business that is not a competitor of AMAI and passes the checks under clause 2.6.
27.2 AMAI. AMAI may assign, novate or otherwise transfer the Agreement, in whole or in part, by written notice to Customer, to (a) any of its Group Companies, including a holding or parent company incorporated in any jurisdiction, as part of a reorganisation of AMAI's group, or (b) a successor to all or substantially all of the business or assets relating to the Service, whether by merger, acquisition, sale of assets or otherwise. Customer consents in advance to any such transfer and will sign any document reasonably required to give effect to a novation. AMAI will ensure that the transferee assumes AMAI's obligations, including under the DPA, and that any resulting transfer of personal data complies with Data Protection Laws.
27.3 Subcontracting. AMAI may use subcontractors and sub-processors to provide the Service. AMAI remains responsible for their performance under the Agreement.
28. Notices and contacts
28.1 Legal notices. Notices of breach, termination or claims must be sent in writing: to AMAI by email to amai@amai.team (subject: Legal notice) and, once AMAI's registered office is published on the Legal page, also by courier to that office; and to Customer at the email address of its Account administrator or the address stated in the Order Form.
28.2 Operational notices. AMAI may give operational notices, including notices of changes under clause 25, by email or in the Service.
28.3 Deemed receipt. An email is deemed received when sent, if sent before 17:00 (Cyprus time) on a Business Day, and otherwise at 09:00 on the next Business Day, unless the sender receives a delivery-failure message. A courier delivery is deemed received on delivery.
28.4 Contacts.
| Purpose | Contact |
|---|---|
| Legal notices and authority requests (DSA) | amai@amai.team, subject: Legal notice |
| Privacy and data subject requests | amai@amai.team, subject: Privacy |
| Support, billing and switching requests | amai@amai.team, subject: Support, Billing or Data Act switching request |
| Illegal content and abuse reports | amai@amai.team, subject: Abuse report |
29. Governing law and jurisdiction
29.1 The Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), is governed by the laws of the Republic of Cyprus. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
29.2 Before starting court proceedings, except for the recovery of unpaid Fees, a party will notify the other of the dispute and the parties' senior representatives will try in good faith to resolve it within 30 days.
29.3 The competent courts of the Republic of Cyprus have exclusive jurisdiction over any dispute or claim arising out of or in connection with the Agreement.
30. General
30.1 Entire agreement. The Agreement is the entire agreement between the parties about its subject matter and supersedes all prior agreements, proposals and representations, including any beta or evaluation terms previously accepted for the same Account (except accrued rights). Each party confirms that it has not relied on any statement that is not set out in the Agreement. Nothing in this clause limits liability for fraud. Terms in Customer's purchase orders or other documents do not apply.
30.2 Documents and order of precedence. The following documents form part of the Agreement, where applicable: the DPA; each Order Form (including any pilot terms in it); the Evaluation Terms; these Terms with the AUP and the Schedules; and the Billing Policy. If they conflict, they apply in that order, except that (a) Schedule C prevails over every other document to the extent required by the Data Act, and (b) an Order Form prevails over the DPA only where it expressly says so and the result complies with Data Protection Laws.
30.3 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the rest of the Agreement remains in force.
30.4 Waiver. A failure or delay in exercising a right is not a waiver of it.
30.5 No third-party rights. No person other than the parties has any right to enforce the Agreement, except AMAI's Group Companies and the other persons protected by clause 21.1.
30.6 Relationship. The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship.
30.7 Publicity. Neither party will use the other's name, logo or trade marks in publicity without the other's prior written consent, which Customer may give in an Order Form.
30.8 Anti-bribery. Each party will comply with applicable anti-bribery and anti-corruption laws in connection with the Agreement.
30.9 Language. The Agreement is made in English. The English version is the binding version. Any translation, including the Russian summary on this page, is for convenience only.
30.10 Electronic acceptance and signature. The Agreement and any Order Form may be accepted electronically and signed with electronic signatures within the meaning of Regulation (EU) No 910/2014, and in counterparts.
30.11 Export control. Customer will not export, re-export or make the Service available in breach of export-control laws or Sanctions.
30.12 Costs. Each party bears its own costs of entering into the Agreement.
Schedule A: Acceptable Use Policy
The Acceptable Use Policy is Schedule A to these Terms and is published as a separate page at amai.team/acceptable-use.
Schedule B: Service levels (first wave of access)
B.1 Status. Access to the Service opens in a first wave, closed and by invitation, from 6 November 2026. This Schedule describes AMAI's targets. No service credits or other financial remedies apply, except the termination right in paragraph B.8.
B.2 Availability target. AMAI targets monthly availability of 99.0% for the core functions of the web app (log-in, partner records, campaign management and drafting), measured by AMAI's monitoring. This is a best-efforts target, not a guarantee. Availability excludes:
- scheduled maintenance announced at least 48 hours in advance, normally between 22:00 and 06:00 Cyprus time;
- emergency maintenance needed to address a security threat;
- unavailability of Third-Party Platforms, AI Providers or Customer's own systems;
- Force Majeure;
- suspension under clause 19; and
- beta and preview features.
B.3 Support channels. Email amai@amai.team. Languages: English and Russian.
B.4 Support hours. Monday to Friday, 10:00 to 18:00 Cyprus time, excluding Cyprus public holidays. AMAI will use reasonable efforts to respond to Priority 1 issues outside these hours.
B.5 Target first-response times (within support hours).
| Priority | Description | Target first response |
|---|---|---|
| P1 | Service unavailable for all users, or suspected security incident | 4 business hours |
| P2 | A core function materially impaired, no workaround | 1 Business Day |
| P3 | Minor issue, question or request | 2 Business Days |
Feature requests are welcome but do not create any obligation.
B.6 Backups and recovery. AMAI keeps backups of Customer Data for 14 days on a rolling basis. Recovery targets: a recovery point objective of up to 30 minutes (the maximum period of data that may be lost) and a recovery time objective of up to 3 hours (the time to restore the Service), as targets only.
B.7 Status communication. AMAI will inform Account administrators of material incidents by email or in the Service.
B.8 Chronic failure. If availability under paragraph B.2 falls below 95% in each of three consecutive calendar months, Customer may terminate the affected subscription by notice within 30 days after the third month, and AMAI will refund the prepaid Fees for the unused part of the Subscription Term.
B.9 Service levels for Individual Plans. Service levels with service credits may be agreed in an Order Form once the Service is generally available.
Schedule C: Exit and switching (EU Data Act)
C.1 Application. This Schedule implements Chapter VI of the Data Act. It applies to every paid subscription and Paid Pilot. It does not apply to Evaluations (clause 4.5). If this Schedule conflicts with any other part of the Agreement, this Schedule prevails.
C.2 Definitions. In this Schedule:
- "Exportable Data" means the input and output data, including metadata, directly or indirectly generated or co-generated by Customer's use of the Service, as described in paragraph C.7. It excludes any assets or data of AMAI or third parties protected by intellectual property rights or constituting a trade secret (including AMAI's software, models, prompts, scoring methods and the Partner Catalog database) and data relating to the integrity and security of the Service.
- "Digital Assets" means elements in digital form for which Customer has the right of use, such as its templates, workflows and configurations.
- "Destination Provider" means the provider of data processing services to which Customer switches.
- "Switching Request" means Customer's notice under paragraph C.3.
C.3 Customer's rights. Customer may at any time give a Switching Request by email to amai@amai.team (subject: Data Act switching request) or in the Account settings, requiring AMAI to:
- switch Customer to a Destination Provider;
- port all Exportable Data and Digital Assets to Customer's own on-premises ICT infrastructure; or
- erase all Exportable Data and Digital Assets.
C.4 Notice period. The switching process starts on the date Customer specifies in the Switching Request, which must be no more than two (2) months after the Switching Request is given. AMAI will not require a longer notice period.
C.5 Transitional period. After the notice period, a transitional period of up to thirty (30) calendar days applies. During it AMAI will:
- provide reasonable assistance in the switching process;
- act with due care to maintain business continuity and continue to provide the functions and services under the Agreement;
- provide clear information about known risks to continuity of service; and
- maintain a high level of security throughout the switching process, especially for data in transfer and for the continued security of data during the retrieval period.
C.6 Technical unfeasibility. If the 30-day transitional period is technically unfeasible, AMAI will notify Customer within 14 working days after the Switching Request, justify the unfeasibility, and propose an alternative transitional period of no more than seven (7) months, during which service continuity is ensured. Customer may extend the transitional period once, for a period Customer considers more appropriate for its purposes.
C.7 Exportable Data and formats. Exportable Data includes Customer's workspaces and campaigns, partner and lead records (CRM records, relationships, programmes, registrations), conversations and messages, Deal Room records (visible messages, file details, published terms and consent history), accepted terms, files uploaded by Customer, workflows and configurations, contact preferences and suppression records, Authorised Users and roles, and invoices once billing starts. AMAI provides Exportable Data in structured, commonly used and machine-readable formats (such as JSON or CSV) and files in their original format, through the self-service exports in the Service where available and otherwise through a secure link on request. The exports available at any time, their content and formats are described on the Disclosures page.
C.8 Known limitations. Before switching, Customer should note that:
- Telegram conversations held on Telegram's servers are not held by AMAI and remain available in the Working Accounts;
- Working Account sessions cannot be transferred and must be reconnected by Customer to the Destination Provider;
- Deal Room links in the Partner Hub cannot be ported, and Partners must be invited to a new channel; and
- Catalog Data is excluded (clause 15.5).
C.9 Retrieval period. Exportable Data remains available for retrieval for at least thirty (30) calendar days after the end of the transitional period or, where no Switching Request has been given, after the subscription ends for any reason. When a subscription ends, the workspace is archived. An archived workspace is kept for 90 days and Exportable Data can be retrieved from it during that time; access is limited to export. Retrieval is not conditional on payment of overdue Fees, which remain recoverable.
C.10 Erasure. At the end of the period in paragraph C.9, AMAI deletes the archived workspace with all Exportable Data and Digital Assets generated directly by Customer or relating to Customer directly. Copies in backups expire within 14 days in the ordinary backup cycle. If Customer asks for erasure earlier, correspondence stays available for up to 30 days where it may lawfully be kept and is then deleted. AMAI keeps data that it must keep under Applicable Law (for example invoices and accounting records) only as permitted by clause 13.4 of the DPA. AMAI will confirm erasure on request.
C.11 End of the contract. The Agreement, or the affected subscription, ends automatically when the switching process is successfully completed, and AMAI will notify Customer. Where Customer has requested only erasure, the affected subscription ends at the end of the notice period Customer chose, and erasure follows under paragraph C.10. Clause 7.5 applies to Fees for any committed term.
C.12 No switching charges. AMAI does not charge any switching charges or data egress charges. (From 12 January 2027 such charges are prohibited in any event.)
C.13 Exit-strategy support and cooperation. On request, AMAI will provide information and one planning call to support Customer's exit strategy and will cooperate in good faith with Customer and the Destination Provider.
C.14 Information and website disclosures. AMAI publishes and keeps up to date on the Disclosures page: (a) the switching and porting procedures; (b) a description of the exports, data structures and formats; (c) information about the jurisdiction of the ICT infrastructure used to provide the Service; and (d) a general description of the technical, organisational and contractual measures AMAI takes to prevent international governmental access to or transfer of non-personal data held in the EU where it would conflict with EU or Member State law.
Schedule D: Founders Club
D.1 Eligibility. The Founders Club is open to no more than 20 business teams of the First Wave, selected by AMAI at its discretion. A place is reserved in writing (an email from an @amai.team address confirming the reservation is sufficient), without any payment. A reservation does not oblige either party to sign an Order Form, and AMAI may release a reserved place if no Order Form is signed within the period stated in the reservation. AMAI may close the programme to new customers at any time.
D.2 Founders Club price. The Founders Club price is the First Wave Price of the selected Plan less a further 20% when paying monthly, or less a further 25% when paying a year in advance. The price is fixed for 12 months.
D.3 Order Form. The detailed terms of each Founders Club subscription, including billing, the start of the fixed-price period and any conditions, are set out in its Order Form.
D.4 Personal and confidential. Founders Club pricing is personal to Customer, may not be transferred (except with the Agreement under clause 27.1) and its Order Form terms are Confidential Information.
D.5 Payment to the company only. AMAI accepts Founders Club payments only into accounts held in the name of AffiliateManagersAI Ltd, after its incorporation and account opening, as stated on AMAI's invoice. No payment is requested or accepted for a reservation.
Schedule E: Business Declaration
E.1 Information requested at sign-up or checkout: the legal name of the business; its country of establishment; its company registration number, or a tax identification number for a self-employed professional; its VAT number (optional, needed for EU reverse-charge invoicing and validated through VIES); its business address; the name, role and work email of the person accepting; and the operator brands Customer manages or promotes with their licensing jurisdictions (optional at sign-up, required before connecting Working Accounts).
E.2 Declaration. By ticking a declaration box that is not pre-ticked, the person accepting confirms that:
- the business acquires the AMAI service for the purposes of its trade, business or profession (or the person is a self-employed professional acting for his or her business activity), and not as a consumer;
- the person is at least 18 years old and authorised to bind the business;
- the business, its owners and directors are not subject to Sanctions, and the business is not established in Russia, Belarus or a territory subject to comprehensive Sanctions;
- the business and the gambling operators whose brands it promotes hold the licences required in the markets they target; and
- the person has read and accepts these Terms, including the Acceptable Use Policy and the Data Processing Agreement, and has read the Privacy Policy.
E.3 Marketing. A separate optional box, not pre-ticked, lets the person choose to receive AMAI product news by email. It is not a condition of the Agreement and can be withdrawn at any time.
E.4 Record. For each acceptance AMAI records the version of the Terms, the date and time, the user ID, the IP address and the declaration fields.
